These Terms of Service explain the relationship between you and the team behind Nexo – Order Limit & Purchase Rules. By installing or using the app, you agree to the commitments, responsibilities, and limitations described below.

1. Acceptance of Terms
Nexo Apps, a business unit of Nexusio (“we”, “us”, “our”), provides the Nexo application (“App”) to merchants who operate a Shopify store. By installing, accessing, or using the App you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) and any additional policies referenced herein, including Shopify’s platform policies.
If you do not agree with these Terms, you must uninstall the App and discontinue use immediately. If you accept the Terms on behalf of an organization, you confirm you have authority to bind that entity.
2. Service Overview
Nexo helps Shopify merchants govern how customers purchase products by enforcing rules during browsing, cart, and checkout experiences. Core capabilities include:
- Setting minimum and maximum quantity limits per product, variant, collection, or customer segment
- Applying rolling order-cycle limits, cooldown windows, and inventory safeguards
- Displaying contextual messaging, including localized or customized rule explanations
- Surfacing analytics, alerts, and audit trails that summarize enforcement activity
We may enhance, modify, or discontinue features at any time. Material changes will be communicated through in-product notifications, release notes, or email.
3. Eligibility & Merchant Obligations
To use Nexo you must:
- Operate an active Shopify store and maintain compliance with Shopify’s Terms of Service
- Be legally able to enter into binding agreements on behalf of the business you represent
- Ensure the rules you configure in Nexo comply with all applicable laws, regulations, and customer communications obligations
- Promptly respond to customer or regulatory inquiries that relate to your purchase policies
You remain solely responsible for the outcomes of rules you configure, including any impact to customer experience, fulfillment, or compliance posture.
4. Account Access & Security
When you install Nexo you authorize us to access limited Shopify store data necessary to enforce purchase policies, as detailed in the Privacy Policy. You are responsible for safeguarding your Shopify credentials and for actions taken through your store. Notify Shopify support and Nexo Apps immediately if you suspect unauthorized access or misuse.
We may suspend access if we reasonably believe your account has been compromised, is being used to violate these Terms, or impacts other merchants’ use of the App.
5. Plans, Fees & Billing
Nexo offers a free tier and paid plans billed through Shopify’s subscription system. Plan details, entitlements, and pricing are displayed in the Shopify App Store listing and within the App settings. By selecting a paid plan you authorize Shopify to charge the applicable fees on our behalf.
- Subscriptions renew automatically unless you downgrade or uninstall before the renewal date
- Downgrading may limit data retention or disable functionality tied to higher tiers
- Trial promotions or discounts may be changed or discontinued at our discretion
- Except where mandated by law or Shopify policy, fees are non-refundable
If payment cannot be processed, we may suspend or terminate access until the issue is resolved.
6. Acceptable Use
You agree not to:
- Use Nexo in violation of any law, regulation, or third-party rights
- Attempt to bypass enforcement safeguards, rate limits, or security controls
- Reverse engineer, decompile, or otherwise attempt to access the App’s source code
- Introduce malicious code, disrupt the service, or interfere with other merchants’ use
- Resell or provide the App as a hosted service without our prior written consent
We reserve the right to audit usage and to suspend or terminate access for violations.
7. Data & Privacy
Our collection, use, and retention of data is described in the Nexo Privacy Policy, which forms part of these Terms. By using the App you consent to the processing of store and customer data as outlined there. We only collect data required to deliver the service, provide support, improve product performance, and meet legal obligations.
You are responsible for providing any notices or obtaining any consents required from your customers in connection with the policies you configure in Nexo. Requests to access or delete data can be directed to suppport@nexusio.cc.
8. Availability, Support & Changes
We aim to keep Nexo highly available with reasonable technical safeguards, but we do not warrant uninterrupted service. Planned maintenance, Shopify platform incidents, or factors outside our control may impact availability. When feasible we will provide status updates through in-app messaging or status pages.
Support is provided via email or in-app contact forms. Response times vary by plan, ticket volume, and issue complexity. We may introduce new features, retire legacy functionality, or adjust integrations. Significant changes that materially impact how the App works will be announced in advance whenever practical.
9. Intellectual Property
Nexo, including all software, documentation, branding, and design assets, is owned by Nexo Apps or its licensors. We grant you a limited, revocable, non-transferable license to use the App solely for operating your Shopify store. You may not reproduce, distribute, or create derivative works from the App without our written permission.
10. Third-Party Services
The App relies on Shopify APIs and may integrate with optional third-party tools. We are not responsible for the availability, performance, or policies of third-party services. Your use of those services is governed by their respective agreements, and any data shared with them is subject to their privacy practices.
11. Disclaimers
NEXO IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that enforcement outcomes will meet your requirements or that rule configurations will be error-free.
12. Limitation of Liability
To the maximum extent permitted by law, Nexo Apps and its affiliates will not be liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits or revenue, arising from use of or inability to use the App. Our aggregate liability under these Terms is limited to the greater of USD $100 or the fees you paid for the App during the three months preceding the event giving rise to liability.
13. Indemnification
You agree to indemnify, defend, and hold harmless Nexo Apps, its officers, employees, partners, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the App, or your violation of applicable laws or third-party rights.
14. Changes to these Terms
We may update these Terms to reflect product enhancements, legal requirements, or business needs. We will notify you of material changes through the App, email, or Shopify notifications. The “Last updated” date will indicate the latest revision. Continued use of Nexo after changes become effective constitutes acceptance of the revised Terms.
15. Governing Law & Disputes
These Terms are governed by the laws of the jurisdiction where Nexo Apps is incorporated, without regard to conflict-of-law principles. Parties will first attempt to resolve disputes informally. If a dispute cannot be resolved within thirty (30) days, it will be submitted to binding arbitration in that jurisdiction, except where prohibited by applicable law.
