1. Acceptance of Terms
Nexo, a business unit of Nexusio (“we”, “us”, “our”), provides Shopify applications (each an “App”, together the “Apps”) to merchants who operate a Shopify store. Our Apps include Nexo Order Limit and Nexo Payment Methods. By installing, accessing, or using any of the Apps you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) and any additional policies referenced herein, including Shopify’s platform policies.
If you do not agree with these Terms, you must uninstall the relevant App and discontinue use immediately. If you accept the Terms on behalf of an organization, you confirm you have authority to bind that entity.
2. Service Overview
Our Apps help Shopify merchants govern how customers purchase and pay during browsing, cart, and checkout experiences. Capabilities across the Apps include:
- Nexo Order Limit — setting minimum and maximum quantity, order value, and B2B order rules per product, variant, collection, or customer segment, with cooldown windows and contextual messaging
- Nexo Payment Methods — no-code rules to hide, reorder, and rename payment methods at Shopify checkout, targeted by criteria such as cart value, customer tags, market/country, or B2B data
- Displaying contextual messaging, including localized or customized rule explanations
- Surfacing analytics, alerts, and audit trails that summarize rule activity
We may enhance, modify, or discontinue features or Apps at any time. Material changes will be communicated through in-product notifications, release notes, or email.
3. Eligibility & Merchant Obligations
To use our Apps you must:
- Operate an active Shopify store and maintain compliance with Shopify’s Terms of Service
- Be legally able to enter into binding agreements on behalf of the business you represent
- Ensure the rules you configure in the Apps comply with all applicable laws, regulations, and customer communications obligations
- Promptly respond to customer or regulatory inquiries that relate to your purchase or checkout policies
You remain solely responsible for the outcomes of rules you configure, including any impact to customer experience, available payment options, fulfillment, or compliance posture.
4. Account Access & Security
When you install an App you authorize us to access limited Shopify store data necessary to provide that App’s functionality, as detailed in the Privacy Policy. You are responsible for safeguarding your Shopify credentials and for actions taken through your store. Notify Shopify support and Nexo immediately if you suspect unauthorized access or misuse.
We may suspend access if we reasonably believe your account has been compromised, is being used to violate these Terms, or impacts other merchants’ use of the Apps.
5. Plans, Fees & Billing
Our Apps may offer free and paid plans billed through Shopify’s subscription system. Nexo Payment Methods is currently offered free of charge. Plan details, entitlements, and pricing for each App are displayed in the Shopify App Store listing and within the App settings. By selecting a paid plan you authorize Shopify to charge the applicable fees on our behalf.
- Subscriptions renew automatically unless you downgrade or uninstall before the renewal date
- Downgrading may limit data retention or disable functionality tied to higher tiers
- Trial promotions or discounts may be changed or discontinued at our discretion
- Except where mandated by law or Shopify policy, fees are non-refundable
If payment cannot be processed, we may suspend or terminate access until the issue is resolved.
6. Acceptable Use
You agree not to:
- Use the Apps in violation of any law, regulation, or third-party rights
- Attempt to bypass enforcement safeguards, rate limits, or security controls
- Reverse engineer, decompile, or otherwise attempt to access an App’s source code
- Introduce malicious code, disrupt the service, or interfere with other merchants’ use
- Resell or provide the Apps as a hosted service without our prior written consent
We reserve the right to audit usage and to suspend or terminate access for violations.
7. Data & Privacy
Our collection, use, and retention of data is described in the Nexo Privacy Policy, which forms part of these Terms and covers all of our Apps. By using an App you consent to the processing of store and customer data as outlined there. We only collect data required to deliver the service, provide support, improve product performance, and meet legal obligations.
You are responsible for providing any notices or obtaining any consents required from your customers in connection with the policies you configure in the Apps. Requests to access or delete data can be directed to [email protected].
8. Availability, Support & Changes
We aim to keep our Apps highly available with reasonable technical safeguards, but we do not warrant uninterrupted service. Planned maintenance, Shopify platform incidents, or factors outside our control may impact availability. When feasible we will provide status updates through in-app messaging or status pages.
Support is provided via email or in-app contact forms. Response times vary by plan, ticket volume, and issue complexity. We may introduce new features or Apps, retire legacy functionality, or adjust integrations. Significant changes that materially impact how an App works will be announced in advance whenever practical.
9. Intellectual Property
The Apps, including all software, documentation, branding, and design assets, are owned by Nexo or its licensors. We grant you a limited, revocable, non-transferable license to use the Apps solely for operating your Shopify store. You may not reproduce, distribute, or create derivative works from the Apps without our written permission.
10. Third-Party Services
The Apps rely on Shopify APIs and may integrate with optional third-party tools. We are not responsible for the availability, performance, or policies of third-party services. Your use of those services is governed by their respective agreements, and any data shared with them is subject to their privacy practices.
11. Disclaimers
THE APPS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that rule outcomes will meet your requirements or that rule configurations will be error-free.
12. Limitation of Liability
To the maximum extent permitted by law, Nexo and its affiliates will not be liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits or revenue, arising from use of or inability to use the Apps. Our aggregate liability under these Terms is limited to the greater of USD $100 or the fees you paid for the relevant App during the three months preceding the event giving rise to liability.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
13. Indemnification
You agree to indemnify, defend, and hold harmless Nexo, its officers, employees, partners, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Apps, or your violation of applicable laws or third-party rights.
14. Changes to these Terms
We may update these Terms to reflect product enhancements, new Apps, legal requirements, or business needs. We will notify you of material changes through the Apps, email, or Shopify notifications. The “Last updated” date will indicate the latest revision. Continued use of our Apps after changes become effective constitutes acceptance of the revised Terms.
15. Governing Law & Disputes
These Terms are governed by the laws of the jurisdiction where Nexo is incorporated, without regard to conflict-of-law principles. Parties will first attempt to resolve disputes informally. If a dispute cannot be resolved within thirty (30) days, it will be submitted to binding arbitration in that jurisdiction, except where prohibited by applicable law.
